Affiliate Partner Terms & Conditions Agreement

Effective Date: Upon Application Approval

These Affiliate Partner Terms & Conditions (“Agreement”) govern participation in the Results by Nature® Affiliate Program (“Program”). By enrolling as an affiliate (“Affiliate,” “you,” or “your”), you agree to comply with the terms outlined below.

1. PROGRAM OVERVIEW

The Results by Nature® Affiliate Program is designed to create aligned partnerships with individuals and businesses who share our commitment to hormone-conscious, science-informed, and compliant skincare education and promotion.

Affiliates are authorized to promote Results by Nature® products using a unique referral link and earn commission on qualifying sales.

2. COMMISSION STRUCTURE

  • Affiliates will receive a 10% commission on all net qualifying sales
  • Commission is calculated based on the order subtotal only, excluding:
    • Taxes
    • Shipping fees
    • Discounts, refunds, or chargebacks
  • Commission payments will be issued on a monthly basis, subject to a minimum monthly payout threshold of $50.00. If the minimum monthly threshold is not met then the payout will revert to a quarterly payout.

3. QUALIFYING SALES & ATTRIBUTION

A sale qualifies for commission when:

  • The customer completes a purchase using the Affiliate’s unique tracking link or code
  • The order is not returned, refunded, or disputed within the designated return window
  • The purchase is made within the attribution window of thirty (30) days from the Affiliate’s initial referral click

Results by Nature® reserves the right to modify the attribution window with thirty (30) days written notice.

Results by Nature® retains final authority in determining attribution in cases of multiple referral sources.

4. COMPLIANCE WITH FDA, MoCRA, AND ADVERTISING STANDARDS

Affiliates must adhere strictly to all applicable regulatory and advertising guidelines.

4.1 No Drug or Medical Claims

Affiliates may NOT:

  • Claim that products diagnose, treat, cure, or prevent any disease or medical condition
  • Use prohibited language including but not limited to:
    • “clinically proven”
    • “medical-grade”
    • “heals,” “treats,” or “cures”

4.2 Permitted Language

Affiliates may use compliant phrasing such as:

  • “Supports skin barrier function”
  • “Helps improve the appearance of…”
  • “Formulated with ingredients chosen for their scientific research shown to support…”

4.3 Truthful and Non-Misleading Representation

  • All statements must be accurate, substantiated, and not misleading
  • Personal experiences must not be presented as universal outcomes

4.4 FTC Disclosure

Affiliates must clearly disclose their relationship with Results by Nature® in all promotional content.

5. BRAND INTEGRITY & POSITIONING

Affiliates agree to uphold the integrity of Results by Nature®.

5.1 Competing Brand Disclosure

Affiliates must disclose any partnerships with brands offering substantially similar products or services.

Results by Nature® reserves the right to terminate this Agreement if such relationships create a conflict of interest or dilute brand integrity.

6. PROHIBITED ACTIVITIES

Affiliates may NOT:

  • Bid on brand keywords in paid advertising without written approval
  • Impersonate Results by Nature®
  • Offer unauthorized discounts
  • Engage in deceptive or misleading practices

7. CONTENT USAGE, INTELLECTUAL PROPERTY & REPRESENTATION

  • Affiliates may use approved brand assets only
  • Content may not be altered in a misleading or non-compliant manner

7.1 Content Review & Audit Right

Results by Nature® reserves the right to review all affiliate promotional content at any time.

Upon written request, Affiliates must provide access to promotional materials within fourteen (14) days.

Failure to comply may result in suspension or termination.

7.2 Content Orientation & Training Requirement

To ensure accurate, compliant, and consistent representation of Results by Nature®, Affiliates may be required to review and adhere to brand-provided Content Orientation Materials, which may include written guides, recorded trainings, or other educational resources.

Affiliates agree to:

  • Represent Results by Nature® in a manner consistent with its science-informed, hormone-conscious, and BioIntegrative skincare positioning
  • Avoid oversimplification, overstatement, or mischaracterization of product function, outcomes, or methodology
  • Refrain from presenting products as singular solutions, cures, or guaranteed outcomes
  • Align messaging with the principle that skin is a system influenced by multiple internal and external factors, and that product use supports — but does not replace — broader skin health considerations

Results by Nature® reserves the right to:

  • Require completion or acknowledgment of such orientation materials as a condition of participation
  • Request modification or removal of content that does not reflect accurate or compliant representation
  • Suspend or terminate Affiliate participation if repeated misrepresentation occurs, whether intentional or not

8. TERMINATION

Results by Nature® may terminate participation at any time.

Upon termination:

  • Affiliate links will be deactivated
  • Commissions may be withheld if violations are identified

8.1 Post-Termination Conduct

Upon termination, Affiliate agrees not to make disparaging, misleading, or damaging statements about Results by Nature®, its founders, products, methodology, or business practices.

8.2 Return and Revocation of Brand Assets

Upon termination of this Agreement for any reason, Affiliate’s license to use Results by Nature® brand assets, approved marketing materials, imagery, copy, and any proprietary methodology language, including but not limited to Context-Intelligent Aesthetics and Skin as a System, is immediately revoked. Affiliate agrees to promptly remove all such materials from any platform, website, social channel, or promotional context within fourteen (14) days of termination. Results by Nature® reserves the right to pursue remedies for continued unauthorized use beyond this period.

9. BRAND REPUTATION & CONDUCT

Results by Nature® reserves the right to suspend or terminate an Affiliate if, in its reasonable judgment, the Affiliate’s conduct poses a risk to the reputation, integrity, or public standing of the brand.

This includes but is not limited to:

  • Social media activity
  • Public statements
  • Association with harmful, misleading, or discriminatory content

10. Indemnification

Affiliate agrees to indemnify, defend, and hold harmless Results by Nature®, its founders, officers, employees, and agents from and against any claims, damages, losses, liabilities, fines, or expenses — including reasonable legal fees — arising out of or related to: (a) Affiliate’s violation of any term of this Agreement; (b) Affiliate’s non-compliant promotional content, including claims that violate FDA, MoCRA, or FTC guidelines; (c) any third-party claim resulting from Affiliate’s representation of Results by Nature® products or methodology; or (d) Affiliate’s negligent or wrongful conduct in connection with Program participation.

11. CONFIDENTIALITY

Affiliate acknowledges that participation in the Results by Nature® Affiliate Program may provide access to proprietary information, including but not limited to brand strategy, orientation materials, methodology frameworks, formulation positioning, and pricing structures (“Confidential Information”). Affiliate agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without prior written consent from Results by Nature®; and (c) use Confidential Information solely for the purpose of fulfilling obligations under this Agreement. This obligation survives termination of the Agreement.

12. LIMITATION OF LIABILITY

Results by Nature® shall not be liable for indirect, incidental, or consequential damages. Results by Nature®’s total liability to any Affiliate shall not exceed the total commissions paid to that Affiliate in the three (3) months preceding the claim.

13. MODIFICATIONS

Results by Nature® reserves the right to update these Terms at any time with notice.

14. DISPUTE RESOLUTION

  • Parties agree to attempt good-faith resolution first
  • If unresolved within thirty (30) days, mediation is required prior to litigation
  • Legal action shall occur exclusively in Oregon courts

15. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Oregon.

16. ACCEPTANCE

By enrolling in the Program, you agree to these Terms & Conditions.
